Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the Canventra inventory-management service (the “Service”) provided by Canventra Technologies (“Canventra”, “we”, “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
Definitions
“Account” means your organisation’s registered account. “User” means any person you authorise to use the Service. “Your Data” means the products, inventory, sales, supplier and other content you enter into the Service.
Eligibility
You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a business, you confirm you are authorised to bind that business to these Terms.
Accounts
You are responsible for your account, for keeping your credentials secure, and for all activity under your account. You must provide accurate registration information and keep it up to date. Notify us promptly of any unauthorised use.
Subscriptions, plans and billing
The Service is offered on free and paid plans. Paid subscriptions renew automatically for the same period unless cancelled before the renewal date. Fees are stated exclusive of taxes unless noted, and you are responsible for applicable taxes. We may change prices with reasonable advance notice, effective at your next renewal.
Payments and refunds
You authorise us (and our payment processor) to charge your selected payment method for all fees. If a payment fails, we may suspend the Service until payment is received. Except where required by law, fees are non-refundable.
Free plan and trials
Free plans and trials are provided “as is” and may have feature, product, or user limits. We may change or discontinue free offerings at any time.
Cancellation and termination
You may cancel at any time; cancellation takes effect at the end of the current billing period. We may suspend or terminate your access for breach of these Terms, non-payment, or misuse. On termination you may export Your Data for a reasonable period, after which we may delete it.
Acceptable use
You agree not to:
- use the Service unlawfully or for fraudulent purposes;
- attempt to reverse-engineer, copy, or resell the Service without permission;
- interfere with, overload, or disrupt the Service or its security;
- upload content that infringes others’ rights or that you have no right to use.
Your data and ownership
You own Your Data. You grant us a limited licence to host, process, and display it solely to provide and improve the Service. Our handling of personal data is described in our Privacy Policy.
Our intellectual property
The Service, including its software, design, and brand, is owned by Canventra and protected by law. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. All rights not granted are reserved.
Service availability and support
We aim to keep the Service available and reliable but do not guarantee uninterrupted access. We may perform maintenance and may modify or discontinue features. Support is provided through the channels described on our site or in your plan.
Third-party services
The Service relies on third-party providers (for example, hosting, authentication, and payment processing). Their services are governed by their own terms, and we are not responsible for them.
Data export, backups and loss
You can export Your Data from the Service. We maintain routine backups but encourage you to keep your own copies. To the extent permitted by law, we are not liable for any loss of data.
Disclaimers
The Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the maximum extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, Canventra will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the fees you paid for the Service in the twelve (12) months before the event giving rise to the claim.
Indemnification
You agree to indemnify and hold Canventra harmless from claims arising out of Your Data or your misuse of the Service or breach of these Terms.
Confidentiality
Each party agrees to protect the other’s non-public information disclosed in connection with the Service and to use it only as needed to perform under these Terms.
Changes to these Terms
We may update these Terms from time to time. We will post the updated version and revise the effective date. Your continued use of the Service after changes take effect constitutes acceptance.
Governing law and disputes
These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law rules. The courts located there will have exclusive jurisdiction over any disputes, unless mandatory local law provides otherwise.
